Welcome to Zenforth. These Terms and Conditions outline the rules and regulations for the use of Zenforth's services, encompassing website development, mobile application development, and ongoing digital maintenance. By engaging our services, you accept these terms in full.
1. Scope of Services
Zenforth agrees to provide custom digital development services as outlined in the client's specific project proposal. These services may include, but are not limited to:
- Custom website design and development.
- Mobile application development.
- Strategic digital growth consulting.
- Complimentary setup of professional domain email addresses.
- Ongoing technical maintenance and support.
2. Project Timelines and Delivery Guarantee
- Websites: Zenforth guarantees a maximum development and delivery timeline of twenty-five (25) days for standard professional business websites, commencing upon the receipt of all required client assets (logos, text, images).
- Mobile Applications: Delivery timelines for mobile applications are entirely bespoke. A strict project schedule will be determined and agreed upon in writing prior to project commencement, based on the specific features and operational preferences required for the application.
- Delays: Zenforth is not liable for project delays caused by the client's failure to provide necessary feedback, approvals, or business information in a timely manner.
3. Payment Terms and Billing Schedule
Zenforth is committed to providing premium digital infrastructure at highly accessible rates. The total project cost will be explicitly detailed in the initial proposal.
- Payment Structure: All projects require a strict 50% upfront deposit prior to the commencement of any design, engineering, or server allocation.
- Final Handover: The remaining 50% balance is due immediately upon project completion. The final website or application will not be transferred to the client's live servers or app stores until this final payment is cleared.
4. Comprehensive Maintenance and Support
- Following the launch of the project, Zenforth provides dedicated support for routine security updates, performance optimization, and bug fixes to ensure uninterrupted performance.
- Requests for new features, structural redesigns, or significant additions outside the original project scope will be quoted as separate tasks.
5. Client Responsibilities
- The client is responsible for providing all necessary business context, branding assets, and specific operational needs required for Zenforth to execute bespoke, business-centric engineering.
- The client guarantees that any text, graphics, photos, designs, or trademarks provided to Zenforth for inclusion in the project are owned by the client or that the client has legally verifiable permission to use them.
6. Intellectual Property
- Upon the clearance of the final 50% payment, the client retains full ownership of the final website or application interface.
- Zenforth reserves the right to display the completed project in our professional portfolio and marketing materials as a showcase of our digital growth capabilities.
7. Limitation of Liability
Zenforth constructs digital platforms to the highest modern security and performance standards. However, Zenforth cannot be held liable for third-party server outages, external cyber-attacks, or changes made to the platform's code by the client or third parties post-launch.
8. Governing Law and Government Compliance
- Jurisdiction: These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of Tamil Nadu.
- Regulatory Compliance: All digital infrastructure developed by Zenforth is built to strictly adhere to the data privacy and electronic record guidelines set forth by the Information Technology Act, 2000 (IT Act) and the Consumer Protection (E-Commerce) Rules, 2020.
- MSME Framework: Zenforth operates in alignment with the guidelines established by the Ministry of Micro, Small & Medium Enterprises (MSME), Government of India, ensuring transparent and standardized B2B trade practices.
